1. Introduction

These Terms & Conditions (“Terms”) govern your access to and use of steid.org (the “Site”), operated by STEID (Sceince Tecnology Engineering Dynamics) Inc. (“Company,” “we,” “our,” “us”). By accessing, browsing, or using the Site, you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Site.

2. Eligibility and Account Security

• Minimum age. You must be at least 18 years old (or the age of majority where you reside) to create an account or submit content.
• Account accuracy. You agree to provide true, current, and complete information and to update it promptly.
• Credential safety. You are responsible for all activities that occur under your credentials. Notify us immediately of any unauthorised use.

3. Permitted Use

You may use the Site only for lawful purposes and in accordance with these Terms. You agree not to:

• Violate any applicable law or regulation.
• Infringe or misappropriate any intellectual-property, privacy, or proprietary right.
• Upload viruses, malware, or other destructive code.
• Reverse-engineer, decompile, or attempt to derive the Site’s source code except to the extent such restriction is prohibited by law.
• Use data-mining, robots, or similar data-gathering tools without our prior written consent.

4. Intellectual Property

All content and software on the Site are owned by or licensed to Company and are protected by U.S. and international copyright, trademark, and other IP laws. Except as expressly permitted in these Terms, no content may be copied, reproduced, republished, uploaded, or distributed without our prior written consent.

5. User-Generated Content

• Licence grant. By posting or uploading any content (“User Content”), you grant Company a worldwide, non-exclusive, royalty-free, transferable, sublicensable licence to use, reproduce, modify, distribute, and display such User Content in connection with operating and marketing the Site.
• Representations. You represent that you own or have all necessary rights to your User Content, and that its use by Company will not violate any law or third-party right.
• Monitoring. We reserve the right—but not the obligation—to monitor, remove, or edit User Content for any reason.

6. Third-Party Links

The Site may contain links to third-party websites or services that are not owned or controlled by Company. We are not responsible for the content, policies, or practices of any third-party sites.

7. Purchases and Fees (if applicable)

Transactions made through the Site are subject to additional terms presented at the point of sale, including payment processing, taxes, refunds, and subscription renewals.

8. Disclaimers

The Site is provided “as is” and “as available.” To the fullest extent permitted by law, Company disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

9. Limitation of Liability

To the maximum extent permitted by law, Company and its directors, officers, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, or for loss of profits, revenue, data, or goodwill arising out of or in connection with the Site or these Terms, even if advised of the possibility of such damages. Company’s aggregate liability will not exceed (a) USD 100 or (b) the total amount you paid to us in the 12 months preceding the event giving rise to the claim, whichever is greater.

10. Indemnification

You agree to defend, indemnify, and hold harmless Company from and against any claims, damages, liabilities, losses, and expenses (including reasonable attorneys' fees) arising out of or related to (i) your use of the Site, (ii) your User Content, or (iii) your violation of these Terms.

11. Termination

We may suspend or terminate your access to the Site at any time, with or without notice, for conduct that we believe violates these Terms or is harmful to other users or us. Sections 4, 5, 8–13 survive termination.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of New Jersey, U.S.A., without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms shall be resolved (i) first, through good-faith negotiations; (ii) failing that, by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules in [County, State]. Either party may seek injunctive relief in any competent court for IP or confidentiality breaches.

13. Modifications

We may revise these Terms at any time by posting the updated version on the Site and updating the “Last Updated” date. Changes are effective immediately upon posting. Continued use of the Site constitutes acceptance of the revised Terms.
